1. Acceptance of These Terms
These Terms of Use (the "Terms") govern your access to and use of the website located at lucentai.agency (the "Website"), operated by Lucent Aperture LLC, doing business as Lucent ("Lucent," "we," "us," or "our"). By visiting or using the Website in any way, you agree to these Terms. If you do not agree, please do not use the Website.
These Terms apply only to your use of the Website. They do not apply to, and do not govern, any services Lucent may provide to clients. See Section 13 below.
2. Who We Are
Lucent Aperture LLC is a Texas limited liability company doing business as Lucent. Lucent Aperture LLC operates the Website and is the party you are contracting with under these Terms.
3. Eligibility and Lawful Use
The Website is intended for business and professional visitors who are at least 18 years old. By using the Website, you represent that you meet this requirement and that you will use the Website only for lawful purposes and in a manner consistent with these Terms and all applicable laws.
4. Informational Purpose of the Website
The Website provides general information about Lucent, the operational systems Lucent designs and builds, and how to get in touch with us. Nothing on the Website is a complete or final description of any system, service, or engagement. Details of any actual work are defined only in a separate written agreement, as described in Section 13.
5. No Professional Advice
Content on the Website is provided for general informational purposes only. It is not legal, financial, tax, accounting, or other professional advice, and it should not be relied on as such. You should consult a qualified professional before making decisions that affect your business, finances, or legal position.
6. No Guarantee of Results
Descriptions of systems, workflows, outcomes, or case examples on the Website are illustrative. They are meant to show how Lucent approaches a problem, not to predict what will happen for your business. Results depend on many factors specific to each operation, and Lucent does not promise or guarantee any particular outcome, timeline, or result.
7. Permitted and Prohibited Use
You may view and browse the Website for personal, informational, or non-commercial evaluation purposes. You agree not to:
- Scrape, crawl, or harvest content from the Website at scale using automated means, except for standard search engine indexing;
- Interfere with, disrupt, or place undue load on the Website or the infrastructure that supports it;
- Probe, scan, or test the security of the Website, or attempt to gain unauthorized access to any part of it or its systems;
- Misrepresent your identity or affiliation, or use the Website to impersonate any person or entity; or
- Use the Website in any way that violates applicable law or infringes the rights of others.
8. Intellectual Property
The Website, including its text, design, layout, graphics, logos, and other content, is owned by Lucent Aperture LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive license to view the Website for its intended informational purpose. This license does not include any right to reproduce, distribute, modify, or create derivative works from Website content, and it does not grant you any license to use the Lucent name, logo, or other trademarks.
9. Your Submissions and Communications
When you email us, submit a written brief, schedule time with us, or type information into an interactive feature on the Website, you retain ownership of that information. We use what you share with us to respond to you, understand your situation, and evaluate whether working together makes sense. We do not claim a broad or ongoing license to reuse your submissions beyond that purpose.
10. Do Not Submit Confidential Information
The Website's forms, email addresses, and interactive demonstrations are not a confidential or secure channel. Using them does not create any confidentiality obligation, non-disclosure agreement, or similar duty on the part of Lucent. Please do not submit information through the Website that you consider confidential or sensitive. Confidentiality protections, where appropriate, arise only under a separate written agreement signed by both parties.
11. Third-Party Services and Links
The Website may direct you to third-party services, including scheduling through Calendly and written intake through Tally, or may link to other third-party sites. Those services and sites are operated independently of Lucent and are governed by their own terms of use and privacy practices. Lucent does not control, and is not responsible for, the content, policies, or practices of any third-party service or site.
12. Interactive Demonstrations and Simulated Content
The Website includes interactive, illustrative experiences, including a systems catalog, an "Interface" consultation simulator, and a Lucent OS sandbox demonstration. These experiences use sample or simulated data and are intended to illustrate how Lucent thinks about operational systems. They are not a live product, not a system of record, and not professional advice, and their output may be imperfect or incomplete.
Where an interactive feature states that your input is processed only in your own browser, that input is not transmitted to or stored on any Lucent server.
13. Client Services Are Governed by Separate Agreements
These Terms govern only your use of the Website. They do not govern, and are not part of, any audit, implementation, or other service Lucent may perform for a client. Any such engagement is governed exclusively by a separate written agreement between the client and Lucent Aperture LLC. Nothing on the Website is an offer capable of being accepted to form a services contract, and no services contract is formed by browsing the Website, submitting a form, or scheduling a call.
14. Website Availability and Changes
We may add, remove, or change content on the Website, or suspend or discontinue the Website in whole or in part, at any time and without notice. We do not commit to uninterrupted or continuous availability of the Website.
15. Disclaimer of Warranties
To the extent permitted by applicable law, the Website is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be error-free, secure, or uninterrupted.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Lucent Aperture LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Website, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
17. Indemnification
You agree to indemnify and hold Lucent Aperture LLC harmless from claims, losses, and expenses arising directly from your unlawful use of the Website or your violation of these Terms.
18. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.
19. Venue
Any dispute arising out of or relating to these Terms or the Website will be brought in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.
20. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
21. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
22. Assignment
Lucent Aperture LLC may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent.
23. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on this page with a new effective date. Your continued use of the Website after a revision becomes effective constitutes your acceptance of the updated Terms.
